CanDoo User Agreement

CanDoo currently operates as a pilot program on public test networks. Every asset, token, price and transaction on the Platform is simulated for evaluation purposes and has no monetary value. Nothing on the Platform is an offer of securities or any other financial instrument.

1. Acceptance of these Terms

This User Agreement (the “Terms”) is a binding agreement between you and the operator of the CanDoo platform (“CanDoo”, “we”, “us”). By creating an account, connecting a wallet, or otherwise using candoo.app and its related applications and APIs (together, the “Platform”), you confirm that you have read, understood and agree to these Terms and to the Privacy Policy.

If you do not agree to these Terms, do not use the Platform.

2. The Pilot Program

The Platform is made available as a closed evaluation environment (the “Pilot”). The Pilot runs entirely on public blockchain test networks (currently Ethereum Sepolia). Tokens shown on the Platform (“Test Assets”) — including tokens presented as real estate shares, precious metals, bonds or collectibles — are simulations created for demonstration and research. Test Assets do not represent, and are not backed by, any real-world asset, claim, security, deposit or entitlement of any kind.

Test currency used on the Platform (including test USDC) is issued on a test network and has no monetary value. Balances, prices, charts, yields, issuers, custodians and transaction histories displayed during the Pilot are illustrative.

We may modify, reset, suspend or discontinue the Pilot, or wipe any Pilot data (including balances, listings and transaction histories), at any time without notice or compensation.

3. Eligibility and Registration

You must be at least 18 years old and legally capable of entering into contracts to use the Platform. You agree to provide accurate, current and complete information during registration and to keep it up to date, and to maintain no more than one account.

Access to trading features requires identity verification (“KYC”) performed by our verification provider. During the Pilot, verification runs in a test (sandbox) mode; you should follow the on-screen instructions provided for Pilot participants. We may refuse, limit or revoke access at our discretion, including where verification fails or these Terms are breached.

4. Accounts, Wallets and Security

Signing in with an email address or a social provider creates a digital wallet operated through our authentication provider; you may also connect a self-custodial wallet. You are solely responsible for safeguarding access to your email account, social accounts, wallet credentials, seed phrases and private keys, and for all activity under your account.

Transactions on blockchain networks are executed by smart contracts and are generally irreversible. We cannot cancel, reverse or modify a transaction once it has been confirmed on the network.

5. Using the Marketplace

The Platform lets verified participants list Test Assets for sale, purchase Test Assets (including partial purchases where the asset supports divisibility), cancel their own listings, and review market data. Listings are offers made by their creators; CanDoo is not a party to any exchange of Test Assets between participants.

Displayed reference prices are generated by the Platform for demonstration and do not constitute a valuation, quotation or investment advice. Fees shown during checkout are simulated Pilot mechanics.

6. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) interfere with, disrupt or attempt to gain unauthorized access to the Platform, its smart contracts or other users’ accounts; (c) exploit bugs or vulnerabilities instead of reporting them to us; (d) scrape, harvest or misuse other participants’ data; (e) upload unlawful, infringing or malicious content; (f) misrepresent Test Assets or the Pilot as real financial products to any third party; or (g) circumvent any access, rate or verification controls.

7. Intellectual Property

The Platform, including its software, design, text, graphics and trademarks, is owned by CanDoo or its licensors and is protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for participating in the Pilot. No other rights are granted.

8. Feedback

The purpose of the Pilot is to collect feedback. Any suggestions, ideas, bug reports or other feedback you provide may be used by CanDoo without restriction or obligation to you. Feedback must not contain confidential information of third parties.

9. Privacy

Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms.

10. Disclaimers

THE PLATFORM AND ALL TEST ASSETS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, ACCURACY OR NON-INFRINGEMENT.

Nothing on the Platform constitutes investment, legal, tax or other professional advice. Blockchain networks, wallets and smart contracts carry inherent technical risks, including network congestion, forks, and software defects, which are outside our control.

11. Limitation of Liability

To the maximum extent permitted by law, CanDoo and its affiliates, officers, employees and contractors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits, goodwill or opportunity, arising out of or in connection with the Pilot or these Terms. As the Pilot is provided free of charge and involves only assets with no monetary value, our aggregate liability under these Terms is limited to EUR 100.

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for wilful misconduct or gross negligence.

12. Suspension and Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, including for breach of these Terms. You may stop using the Platform at any time. Sections 7, 8, 10, 11 and 14 survive termination.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the latest revision. Material changes will be communicated through the Platform. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of the Principality of Liechtenstein, without regard to its conflict-of-law rules. The courts of Liechtenstein shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rules of your country of residence.
